Equipodia offers this website, including all information, products and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here. Please read these Terms carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms and Conditions of Sale.

By visiting our site, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content.

1. Process of Quotation and Design

1.1 Information Gathering: Upon receipt of an inquiry, the Client shall complete an Equipment Configuration Worksheet. This ensures the proposed solution meets the exact safety and performance specifications of the intended process.

1.2 Replacement Units: For equipment intended to replace existing onsite units, the Client must provide specific design parameters. Equipodia will translate this data into a design drawing for Client review.

1.3 New Installations: For new installations, Equipodia will first assess stock inventory for suitable units. If no stock match exists, we will initiate a custom design tailored to the Client's technical specifications.

1.4 Compliance & Timeline: A unique design drawing—compliant with ASME standards, Pressure Equipment Directive 2014/68/EU (PED), and/or Directive 2014/34/EU (ATEX)—will typically be issued within 10 working days for Client verification.

1.5 Final Quotation: Following technical verification by the Client, Equipodia will issue a final design drawing and a formal quotation, including confirmed lead times and payment terms.

1.6 Validity: All quotations are valid for [15] working days from the date of issue unless otherwise specified in writing.

1.7 Intellectual Property: All design drawings, technical data, and contents remain the exclusive property of Equipodia. They may not be copied, reproduced, or distributed to any third party without prior written consent.

1.8 Revision Limit: To maintain engineering excellence and project velocity, Equipodia provides up to three (3) revisions per project free of charge. We expect the Client to provide consolidated feedback to finalise the design within this limit.

1.9 Excess Revision Fees: To ensure project efficiency and technical accuracy, we kindly ask that the Client reviews all draft design drawings with maximum care. To avoid delays, please consolidate all required feedback into a single, comprehensive brief rather than submitting changes individually.

The initial quote includes up to three versions. Any subsequent revisions—specifically structural changes or shifts in requirements—will be classified as "Process Co-Development" and will incur a fixed service fee of £500 per instance. This fee is waived once a Purchase Order has been issued and the deposit (ref. Section 3) has been paid.

1.10 Errors and Omissions: Any corrections required due to errors made exclusively by Equipodia will be completed free of charge and will not count toward the Client’s revision limit.

2. Materials of Construction

2.1 Clients are deemed to have full knowledge of their processes and the characteristics of the materials involved in such processes. It is the client's responsibility to determine the suitability of any construction material for their intended application. If there is any uncertainty regarding material selection, clients are strongly advised to review our Materials of Construction (MOC) Resources Centre and to perform all necessary corrosion and compatibility testing prior to placing an order. While technical assistance may be provided upon request, such assistance is offered for informational purposes only and does not constitute a guarantee or warranty. The final selection and approval of construction materials shall be the sole responsibility of the client.

3. Purchase Orders and Deposits

3.1 If the client accepts the quotation and lead time, a formal purchase order (PO) must be submitted to us to initiate the order process.

3.2 Upon receipt of a Purchase Order, a deposit ranging from 10% to 30% of the total quoted value is required, unless the Buyer has an established trading history with Equipodia. For those preferring not to remit funds directly in advance, we support the use of an independent Escrow Service or a Letter of Credit (L/C) from a reputable bank to ensure mutual protection. These third-party alternatives safeguard capital in neutral, regulated accounts and link the release of funds to verified milestones—such as Third-Party Inspection Reports or Container Loading Supervision—providing impartial oversight and ensuring timely order processing for both parties.

4. Cooling-Off Period and Cancellations

4.1 In accordance with UK consumer protection law, business customers will be granted a 14-day cooling-off period from the date the purchase order is confirmed.

4.2 During this time, the client may cancel the purchase order for any reason and will be entitled to a full refund of any deposit paid.

4.3 If the client cancels the purchase order after the 14-day cooling-off period, the deposit will be non-refundable.

5. Delivery, Inspection and Final Payment

5.1 Upon readiness for dispatch, a second payment—determined by prior agreement between us and the client—will be required.

5.2 After delivery, client must inspect and/or test the product. The remaining balance of the total order price must be paid in full within 28 calendar days from the date of delivery.

5.3 Failure to make full payment within this period will result in forfeiture of ownership rights. In such cases, we retain full title to the goods and reserve the right to reclaim or dispose of them at our sole discretion.

6. Logistics, Delivery Costs and Duties

6.1 We can assist with logistics, including arranging for shipment or transportation from our warehouse, upon request.

6.2 The client is solely responsible for the cost of delivery, including any third-party logistics or courier fees.

6.3 The client is also responsible for the payment of customs duties, import taxes, and any other charges related to bringing the goods into their country or region.

7. Retention of Title

7.1 Ownership of the goods shall not pass to the client until full payment has been received.

7.2 Until ownership is transferred, the client agrees to store the goods safely and ensure they are clearly identified as our property.

8. Liability

8.1 We shall not be held liable for any indirect, incidental, or consequential loss or damage arising from the use or inability to use the product.

8.2 Our liability for any direct loss or damage shall be limited to the total price paid for the goods.

9. Warranty Coverage

9.1 The equipment is warranted against defects in materials and workmanship for a period of twelve (12) months from the date of disptach.

9.2 Exclusions: This warranty explicitly does not cover damages resulting from, but not limited to:

  • Accidental damages caused by improper installation or neglect.

  • Any unauthorized modifications, repair, or disassembly.

  • Misuse, improper maintenance, or operation outside of specified parameters.

9.3 Claims Procedure: All warranty claims are subject to the submission of proper documentation (including photographic evidence) and verifiable proof of the installation date and initial operation.

10. Extended Producer Responsibility (EPR) & End-of-Life (EoL) Disposal

10.1 Regulatory Compliance: Equipodia confirms its registration with the relevant national environmental registries in the Territory for Packaging waste and Waste Electrical and Electronic Equipment (WEEE), in accordance with [EU Directive 2012/19/EU and UK WEEE Regulations 2013].

10.2 Transfer of Physical Disposal Responsibility

As the Equipment is classified as non-household/professional machinery, the Buyer hereby agrees that the Buyer shall assume full responsibility for the financing and organisation of the collection, treatment, recovery, and environmentally sound disposal of the equipment at the end of its life cycle.

10.3 Decommissioning Costs

The Buyer shall be responsible for all costs associated with the professional decommissioning of the equipment, including the management of any hazardous chemical residues (e.g., Hydrochloric Acid or other process fluids) and the transport of the equipment to a licensed recycling or waste treatment facility.

10.4 Documentation & Reporting:

Upon request, the Buyer shall provide us with a "Certificate of Destruction" or equivalent proof of recycling from a licensed facility to ensure Equipodia can fulfill its annual reporting obligations to national environmental agencies.

10.5 Packaging Waste:

The Buyer assumes responsibility for the disposal and recycling of all transport packaging (including but not limited to wooden crates, pallets, and plastic wrapping) delivered with the equipment, in compliance with local environmental regulations.

11. Governing Law and Jurisdiction

11.1 These Terms and Conditions are governed by the laws of England and Wales.

11.2 Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
